We do not guarantee a particular level of traffic, leads, sales, revenue, rankings, conversions or return on investment unless expressly agreed in writing.

Where third-party services are required, the Client may need to purchase or maintain accounts with external providers.
Examples include domain registrars, hosting providers, Shopify, Google, Meta, Microsoft, payment processors, email providers, CRM systems, cloud platforms, API providers, plugin developers and software vendors.
Third-party services are subject to their own terms, pricing and policies.

Fees will be stated in the applicable proposal, quotation, invoice or agreement.
Payment terms may include upfront deposits, milestone payments, monthly retainers, recurring subscriptions, final payments or other agreed arrangements.

Fees may be subject to applicable taxes, including VAT, GST, sales tax or similar taxes depending on the Client, location, nature of the Services and applicable law.
Unless expressly stated otherwise, quoted fees should not be assumed to include taxes imposed by a relevant jurisdiction.

Refund and cancellation rights will depend on the applicable proposal, service agreement, stage of the project, Services already performed, third-party costs already incurred and mandatory rights under applicable law.
Payments for completed work, delivered Services or non-refundable third-party expenses may not be refundable where legally permitted.
Nothing in these Terms limits a statutory consumer right that cannot lawfully be excluded.

The Client retains ownership of intellectual property supplied by the Client.
AD Digital Info retains ownership of its pre-existing software, code libraries, frameworks, templates, processes, methodologies, tools, systems, techniques, know-how and reusable components.
Ownership and licensing of final project Deliverables will be governed by the applicable proposal, statement of work or agreement.
Where transfer of ownership is agreed, such transfer may be conditional upon full payment of all applicable fees.
Third-party materials remain subject to their respective licences.

Unless otherwise agreed in writing, AD Digital Info may identify completed Client projects in its portfolio or marketing materials.
This may include the Client business name, website URL, general description of the project, non-confidential screenshots or publicly available project information.

We may use authorised access solely for the purpose of providing agreed Services.
28. Deliverables and Acceptance
The Client should review Deliverables within a reasonable period after delivery.
If the Client identifies a material issue within the agreed scope, AD Digital Info will make reasonable efforts to address the issue in accordance with the applicable agreement.
A Deliverable may be considered accepted where the Client expressly approves it, launches or publishes it, uses it commercially or does not raise a material issue within the agreed review period.
Specific acceptance procedures may be included in the applicable statement of work.
29. Maintenance and Support
Website, software and application maintenance may be provided separately from development.
Unless expressly included in the Service agreement, ongoing maintenance may not include security updates, plugin updates, server management, bug fixes caused by third-party updates, new features, content updates, hosting, domain renewal or third-party subscription fees.
Support response times, maintenance scope and service levels will be governed by the applicable agreement where applicable.

Except where expressly agreed otherwise, we do not guarantee that a website will be completely error-free, software will operate without interruption, third-party platforms will remain compatible, search rankings will remain constant, marketing campaigns will achieve a specific result or business revenue will increase by a particular amount.
Nothing in these Terms excludes a legal warranty or consumer protection that cannot legally be excluded.

To the maximum extent permitted by applicable law, AD Digital Info will not be liable for indirect, incidental, special, consequential or economic losses, including loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of anticipated savings, loss of data or business interruption.
Where legally permitted, AD Digital Info's total liability arising from a particular Service will be limited to the fees paid by the Client for that particular Service during the relevant contractual period.
These limitations do not apply to liability that cannot legally be excluded or limited.
Nothing in these Terms is intended to exclude liability for fraud, fraudulent misrepresentation or any other liability that cannot lawfully be excluded.
32. Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify AD Digital Info against reasonable claims, losses, liabilities and costs arising from materials supplied by the Client, unlawful activities by the Client, breach of these Terms, infringement resulting from Client-provided materials, violation of third-party platform policies or violation of applicable laws.
This clause applies only to the extent permitted by applicable law.
33. Suspension of Services
AD Digital Info may suspend Services where payments are overdue, the Client materially breaches these Terms, required information or access is not provided, continued work presents a security or legal risk, fraudulent or unlawful activity is suspected or suspension is otherwise permitted under the applicable agreement.
We will use reasonable efforts to notify the Client where appropriate.
34. Termination
Either party may terminate an ongoing Service arrangement in accordance with the cancellation or termination terms contained in the applicable agreement.
AD Digital Info may terminate or suspend Services where the Client materially breaches these Terms or fails to pay amounts due.
Upon termination, outstanding amounts become payable according to the applicable agreement, completed work may be invoiced, third-party costs already incurred may remain payable, access and Services may be withdrawn where appropriate and intellectual-property rights will be handled according to the applicable agreement.
35. Force Majeure
AD Digital Info will not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control.
These may include natural disasters, war, terrorism, government actions, internet outages, telecommunications failures, power failures, cyber incidents, third-party platform outages, labour disputes, pandemics, public emergencies or other circumstances beyond our reasonable control.

37. Governing Law
Unless otherwise agreed in writing, these Terms of Service are governed by the laws of England and Wales.
Where mandatory laws in the Client's jurisdiction apply and cannot legally be excluded, those laws will continue to apply.
A separate client agreement may specify different governing law and jurisdiction for a particular engagement.
38. Dispute Resolution
If a dispute arises, the parties should first attempt to resolve the matter through good-faith communication and negotiation.
If the dispute cannot be resolved informally, either party may use the legal remedies available under applicable law and the relevant agreement.
Nothing in this clause prevents a consumer from exercising any mandatory statutory rights.
39. Changes to These Terms
AD Digital Info may update these Terms of Service from time to time to reflect changes to our Services, business practices, technology, legal requirements or third-party services.
